Overview of Capital Policy

Hankyu Hanshin Holdings, Inc. maintains a policy of balancing mid- to long-term growth investments with improved capital efficiency while assuming financial soundness, and has set a cumulative shareholder return ratio of 50% or more for fiscal years 2025–2030. Today, following a board resolution dated May 15, 2026, the company resolved to expand the share buyback program and extend the purchase period. As a result, the maximum amount for share buybacks is set at 500 hundred million yen, the maximum number of shares is 12,000,000 shares, and the purchase period is extended from May 18, 2026 to March 31, 2027. Purchases will be conducted via market purchases, and the company will execute them flexibly taking market conditions into account.

Current Purchase Status and Future Outlook

Based on the resolution of May 15, 2026, the cumulative purchase amount is approximately 29,999,877,300 yen, and the total number of shares acquired is 6,547,800 shares (acquired by July 15, 2026). As of August 31, the number of shares outstanding is 232,362,319 shares, and the number of treasury shares is 19,135,915 shares. The company will continue to pursue shareholder returns and improved capital efficiency while flexibly conducting acquisitions in accordance with market conditions.
