Overview of Organizational Restructuring

At a board meeting held today, it was resolved to implement an organizational restructuring of the domestic manufacturing business by conducting absorption-type mergers that will dissolve two wholly owned subsidiaries and an absorption-type company split with the Company as the split company. After Nichirin Co., Ltd. and Nichirin Service Co., Ltd. are absorbed and merged into the new company, manufacturing functions at the Himeji Plant will be integrated and the chain of command unified. The legal procedures assumed include simplified absorption-type mergers and simplified absorption-type splits, and there are matters that require approval at the shareholders' meetings of the companies to be dissolved.

The reorganization is an intra-group restructuring and is expected to have minimal impact on consolidated results. In the medium to long term, the plan is to enhance competitiveness through maintaining and strengthening the production base and improving productivity. Specific schedule: decision date for the restructuring was September 29, 2026; merger agreement date scheduled for January 2027; effective date scheduled for April 2027.
