Notice on the Sale of Properties for the “Jiji Fund”

This notice is to inform that we have resolved to sell to the "Jiji Fund"; the properties to be sold are three properties (locations: Okawa, Numazu City, Shizuoka Prefecture; Sakura Bridge 3-chome, Tsu City, Mie Prefecture; Keyaki-dai 4-chome, Moriya City, Ibaraki Prefecture); the buyer is MHC Jiji Fund LLC. Total sale price is 11.39 billion yen. The contract signing date is August 31, 2026, and the settlement/property handover dates are September 30, 2026 (planned) and late December 2026 (for the ③ property). The consolidated net sales for the previous year show no large deviation, and this has already been incorporated into the consolidated earnings forecast for the year ending December 2026.

The text explains the use of a bridge scheme to accelerate acquisitions and diversify buyers, and the improvement of capital efficiency through the Jiji Fund formation. Going forward, a combination of sales to Jiji REIT and external investors will be pursued to build diverse acquisition channels. The total sale price for the three properties is at a level exceeding 10% of the consolidated net sales for the fiscal year ended December 2025, and this impact has already been incorporated into the current period's earnings forecast.
